Affiliate Program Terms

1. Introduction

These Affiliate Program Terms (“Affiliate Terms”) are between you (“Affiliate”, “you”) and Olyndo Ltd (“BasePrice”, “we”, “us”), a company registered in England & Wales (Company Number: 16131446), operating the BasePrice service at baseprice.io.

These terms apply from the moment your affiliate application is approved. By participating in the BasePrice Affiliate Program, you agree to everything in this document. These terms are in addition to any terms imposed by Affonso, the platform we use to run the program.

2. Definitions

• Affiliate — A person or entity approved to promote BasePrice and earn commissions on qualifying referrals.
• Referral — A new BasePrice customer who signs up and makes a qualifying purchase through your tracking link or coupon code.
• Tracking Link — The unique URL assigned to you in your affiliate dashboard, used to attribute referrals to your account.
• Cookie Window — The 60-day period after someone clicks your tracking link, during which any qualifying purchase is attributed to you.
• Commission — The percentage of a referred customer’s payment that you earn, as displayed in your affiliate dashboard.
• Hold Period — The 30-day waiting period after a customer’s payment before the corresponding commission becomes eligible for payout.
• Affiliate Dashboard — Your personal portal where you can view your tracking link, commission rate, referral history, and payout status.

3. Eligibility and Application

Anyone aged 18 or older may apply to the BasePrice Affiliate Program. Applications are reviewed manually and we reserve the right to approve or reject any application for any reason, without obligation to explain our decision.

Current employees or contractors of Olyndo Ltd are not eligible. Existing BasePrice customers are welcome to apply — just mention your account in your application.

4. The Affiliate Relationship

You are an independent contractor. Nothing in these terms creates an employment relationship, partnership, joint venture, or agency between you and BasePrice. You have no authority to make commitments, enter into contracts, or otherwise bind BasePrice in any way.

5. Commission Structure

Your specific commission rate, duration, and qualifying products are displayed in your affiliate dashboard and may differ based on your assigned tier. The dashboard is the source of truth for your commercial terms.

Commission is calculated on the actual amount received from the referred customer — after any discounts, refunds, or chargebacks. If a customer pays with a coupon that reduces the price, your commission is based on what they actually paid, not the list price.

Attribution works on a last-touch basis: if multiple affiliates refer the same customer, credit goes to the most recent referrer. We use a 60-day cookie window — if someone clicks your tracking link and converts within 60 days, you get credit. Coupon codes also attribute referrals, even without a tracking link click.

6. Payment Terms

• Commissions are paid out monthly, in USD, via Stripe or PayPal.
• The minimum payout threshold is $25 USD. If your balance is below this at payout time, it rolls over to the next month.
• Each commission has a 30-day hold period from the date of the customer’s payment. This covers refunds and chargebacks. Commissions become payable only after the hold period clears.
• You are responsible for all taxes, duties, and reporting obligations on commissions earned, in accordance with the laws of your jurisdiction.
• Any fees charged by your bank, PayPal, or payment provider for receiving funds are your responsibility.

7. Promotional Restrictions

We want affiliates to promote BasePrice honestly and transparently. The following are not permitted:

• Branded paid search — Bidding on “BasePrice” or any of our branded keywords in Google Ads, Bing Ads, or similar platforms. You may run paid ads that don’t target our brand terms.
• Coupon and cashback sites — Listing BasePrice on coupon aggregators, deal sites, cashback platforms, or loyalty programs.
• Incentivized traffic — Using paid-to-click services, autoclickers, bots, or any form of artificial traffic.
• Spam — Unsolicited bulk email, social media spam, or any communication that violates anti-spam laws (CAN-SPAM, GDPR, etc.).
• Misleading claims — Misrepresenting BasePrice’s features, pricing, or capabilities. Only make claims that are accurate and verifiable.
• Restricted markets — Promoting BasePrice in markets where the service is unavailable or restricted.
• Missing disclosure — You must clearly disclose your affiliate relationship when promoting BasePrice, in compliance with FTC guidelines (or your local equivalent). A simple “affiliate link” note is fine.
• Impersonation — Presenting yourself as a BasePrice employee, representative, or official partner beyond the affiliate relationship.
• Domain and handle squatting — Registering domain names or social media handles containing “baseprice” or confusingly similar variations.

8. Brand Usage

We grant you a limited, non-exclusive, revocable license to use the BasePrice name and logo solely for the purpose of promoting BasePrice as an affiliate. You may not modify, distort, or alter our brand assets. If we publish brand guidelines, you agree to follow them.

This license ends immediately when your participation in the affiliate program ends, for any reason.

9. Clawbacks and Refunds

If a referred customer refunds or initiates a chargeback within the hold period, the corresponding commission is reversed. This is automatic — your dashboard will reflect the adjustment.

If we detect fraudulent activity — including but not limited to self-referrals, fake signups, or manufactured conversions — all associated commissions are reversed and your affiliate account is terminated immediately.

10. Confidentiality

Your specific commission rate, tier assignment, and any custom arrangements are confidential. You may discuss the program in general terms (e.g., “BasePrice has an affiliate program”) and reference publicly available information from our affiliate page, but you may not share your exact commercial terms with third parties.

11. Termination

Either party may end the affiliate relationship at any time, for any reason, by written notice (email is fine). On termination, any commissions that have already cleared the hold period will be paid out on the next regular payout cycle.

We may terminate your participation immediately and without notice if you violate these terms or engage in fraudulent activity. In that case, all unpaid commissions — including those that have cleared the hold period — are forfeited.

12. Liability and Disclaimer

The affiliate program is provided “as is”. We make no guarantees about the program’s continuity, commission rates, or your earnings. We may modify, suspend, or discontinue the program at any time.

BasePrice’s total liability to you under these terms is limited to the lesser of $500 USD or the total commissions paid to you in the six months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the program.

13. Changes to These Terms

We may update these Affiliate Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued participation in the program after the effective date constitutes acceptance of the updated terms.

14. Governing Law

These Affiliate Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
